All services are provided on a business-to-business (B2B) basis. Our services are intended for commercial entities, brand owners, retailers, and distributors.
All quotations provided by Purse Private Label are valid for thirty (30) days from the date of issue unless otherwise stated. Prices are quoted in US Dollars (USD) and are subject to change based on material cost fluctuations, currency exchange rates, and order specification changes. Final pricing is confirmed only upon written acceptance of the quotation and receipt of the required deposit. Quoted prices do not include shipping costs, customs duties, taxes, or insurance unless explicitly stated as DDP (Delivered Duty Paid).
All orders are subject to our acceptance and availability of production capacity. Standard payment terms for new clients require a thirty percent (30%) deposit upon order confirmation, with the seventy percent (70%) balance due before shipment. Established clients may be eligible for alternative payment arrangements upon mutual agreement. Accepted payment methods include T/T (bank transfer), Western Union, and Letters of Credit for qualifying orders. All bank transfer fees are borne by the sending party.
Production timelines are estimates provided in good faith and are based on standard operating conditions. While we strive to meet all quoted timelines, Purse Private Label shall not be held liable for delays caused by: material supply shortages, force majeure events (natural disasters, pandemics, government actions, war), client-requested design changes during production, quality issues requiring rework at client request, or shipping carrier delays beyond our control. We will communicate promptly regarding any anticipated delays and work diligently to minimize their impact.
All products are manufactured according to agreed-upon specifications, approved samples, and our standard quality parameters (AQL 2.5 for general defects, AQL 1.5 for critical defects). The approved pre-production sample serves as the quality benchmark for the entire production run. Clients are responsible for reviewing and approving all pre-production samples before bulk manufacturing begins. Claims regarding quality must be submitted within fourteen (14) days of receipt of goods, accompanied by photographic evidence and detailed descriptions of the alleged defects.
All client-provided designs, logos, trademarks, and brand materials remain the intellectual property of the client. Purse Private Label will not reproduce, display, or share client designs with third parties without written consent. Conversely, all designs, patterns, and techniques developed by Purse Private Label (including ODM designs not yet purchased by a client) remain our intellectual property. Clients are responsible for ensuring they have the legal right to use all designs, logos, and trademarks provided to us, and shall indemnify us against any intellectual property infringement claims.
Both parties agree to maintain the confidentiality of proprietary information shared during the course of business. This includes but is not limited to: designs, tech packs, pricing, business strategies, customer lists, and manufacturing processes. Confidentiality obligations survive the termination of the business relationship for a period of three (3) years. Upon request, we are happy to execute mutual Non-Disclosure Agreements (NDAs) for additional protection.
To the maximum extent permitted by applicable law, Purse Private Label shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from or related to the use of our services or products. Our total liability for any claim arising from an order shall not exceed the total value of the specific order giving rise to the claim.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond reasonable control, including but not limited to: acts of God, natural disasters, epidemics, government actions or restrictions, war, terrorism, civil unrest, labor disputes, supply chain disruptions, power failures, or internet outages. The affected party shall notify the other party promptly and use reasonable efforts to mitigate the impact.
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or related to these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails within thirty (30) days, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its then-effective rules. The arbitration shall take place in Quanzhou, Fujian, China.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services following the posting of changes constitutes acceptance of those changes. We encourage you to review these Terms periodically.
